成立流程 Incorporation Procedures
1. 查核階段
● 公司名字(中文及英文)和業務作查核 ;
● 填寫事務所提供的申請表格，以及提供股東及配偶的身份證/護照掃瞄件作審核和文件缮立;
(澳明居民提供身份證，其他地區或國家人士则提供有簽名樣式的護照)
● 如查核不成功则重覆以上步骤。
2. 完成查核後:
● 我们會根據查核資料準備文件 ;
● 回簽文件同時需一併提供股東的身份證/護照正本作筆跡鑑證。
*如股東身份為外地法人(即澳門地區以外的有限公司)，则同时需要提供經國際公證認定的會議錄或其他認證文件，以證明出資或購股意向的合法性。法人股東本身的架構和内在個人成員資料也需要披露和提供。
客户可自行辨理後向我们提供證明文件。或另外向我们查詢和委託一併處理，費用需另外收取和洽談。
步驟程序和需时:
1. 填寫成立公司表格，連同股東及其配偶之身份證/護照副本提供;
2. 查察公司名稱是否可用，需時3 個工作天。如名字不通過则需重新查察 ;
3. 缮立文件，需時2至3 個工作天;
4. 股東親身来澳作簽名筆跡認證，或把股東有簽名樣式之護照正本或經公證署認證的護照認證本連同已簽名之文件寄來澳門 ;
5. 登记需時约 15 至 25 工作天。
1. Verification Stage
● Conduct verification on the company name (Chinese and English) and business scope;
● Complete the application form provided by our firm and submit scanned copies of identity documents or passports of shareholders and their spouses for review and document preparation.
( Macao residents shall provide identity cards; persons from other regions or countries shall provide passports with specimen signatures. )
● Repeat the above steps if the verification fails.
2. After Successful Verification:
● We will prepare documents based on the verified information;
● When countersigning documents, shareholders shall present the original identity card or passport for signature verification.
*If the shareholder is an overseas legal entity (i.e. a limited company incorporated outside Macao), notarised minutes or other authenticated documents with international notarisation shall also be submitted to prove the legality of capital contribution or share subscription intent. Information on the structure and individual beneficial owners of the corporate shareholder must also be disclosed and provided.
Clients may complete the procedures on their own and supply supporting documents to us. Alternatively, you may enquire and entrust us to handle such matters together; relevant fees will be charged separately and subject to negotiation.
Procedures and Timeframe:
1. Fill in the company incorporation form and submit copies of identity cards or passports of shareholders and their spouses;
2. Conduct company name availability search, which takes 3 working days. Re-search is required if the proposed name is rejected;
3. Prepare incorporation documents, which takes 2 to 3 working days;
4. Shareholders may attend in person in Macao for signature authentication, or send the original passport with specimen signature or notarised passport copy authenticated by a notary public together with signed documents to Macao;
5. Registration takes approximately 15 to 25 working days.
